The Board of Directors of Enterprise Bancorp, Inc. has always embraced the highest standards of corporate governance, conducting business in accordance with the most stringent legal and ethical standards. In April 2003, in an effort to support this mission, and to comply with recently enacted federal regulations, the Board of Directors formed a Corporate Governance/Nominating Committee. The Committee has undertaken the process of complying with the technical requirements of the laws, which in many cases requires simply formalizing those core values that the Company has embraced since its inception.

These principles of governance reflect Enterprise Bank's commitment to providing a working atmosphere where directors, management and employees operate in an ethically sound environment. These policies provide a framework for the proper operation of Enterprise Bank, consistent with its shareholder's best interest and the requirements of the law. The Board is committed to monitoring the effectiveness of decision-making at the Board and management levels and to rigorously and diligently exercising its oversight responsibilities throughout the Company.

The Board recognizes that the operating environment and regulatory requirements will change on a frequent basis. Accordingly, the Corporate Governance/Nominating Committee will oversee that these policies are updated from time-to-time to reflect the current operating environment.
